Membership Agreement

1. Parties and Subject

This Membership Agreement ("Agreement") is concluded between Eaglessoft BV, operating under the Riddle brand ("Riddle" or the "Platform"), and the natural or legal person registering on the Platform (the "Member"), and takes effect upon completion of registration. It governs the use of the profitability-analysis and market-data services offered to users who sell, or plan to sell, on the bol.com marketplace.

2. Scope of the Service

The Platform offers tools such as uploading wholesaler price lists, per-product net-profit calculation including commission, shipping and VAT, catalog and sales-data estimates, and price tracking. The scope and package limits (analyses per month, products per analysis, etc.) depend on the chosen subscription plan and are published on the Platform.

Riddle is not an affiliate, agent or partner of bol.com. "bol.com" is a trademark of its owner and is used on the Platform solely to describe the subject of the service.

3. Nature of the Data — No Warranty

Sales volumes, revenue, profit and similar figures shown on the Platform are estimates compiled from public sources, third-party providers and statistical models. They do not constitute investment or purchasing advice; their accuracy, timeliness and completeness are not guaranteed. All consequences of commercial decisions the Member makes based on this data (purchasing, stock, pricing, etc.) rest solely with the Member.

4. Membership and Account Security

  • An account is created with e-mail and password or via a Google account. The Member declares that the information provided at registration is accurate.
  • The Member is responsible for account and password security; all actions performed through the account are deemed performed by the Member.
  • An account belongs to a single business; sharing or transferring accounts is prohibited.
  • Entering a bol.com Retailer API key is optional; keys are stored encrypted and used only for operations requested by the Member.

5. Trial and Subscription

  • New memberships start with a 14-day free trial; no card details are required for the trial.
  • To continue after the trial, the Member selects a plan and grants a card authorization (mandate) via our payment provider.
  • The subscription is monthly and renews automatically: at the end of each period the plan fee is charged to the registered payment method.
  • The Member may cancel at any time from the panel; cancellation takes effect at the end of the paid period, with access continuing until then. No pro-rata refunds are given.
  • If an automatic charge fails, the subscription is suspended and access closes; the Member can continue by retrying the payment or registering a new card in the panel.
  • Plan prices and limits may change; changes do not apply to the current paid period and are announced before the next renewal.

6. Fees, Payment and Invoicing

  • Published prices include VAT and are in Euro (€).
  • Payments are processed by the licensed payment institution Mollie. Card details (card number, expiry, CVC) are never stored on Riddle systems; only payment authorization references generated by Mollie are kept.
  • An electronic invoice is issued for every successful charge and made available in the panel. The Member is responsible for the accuracy of the invoicing details (name, address, VAT number if any).

7. Right of Withdrawal

The service is digital content/services performed immediately in an electronic environment. By starting a paid subscription the Member expressly consents to immediate performance and acknowledges that, under applicable law, no right of withdrawal applies. The 14-day free trial exists precisely so the service can be evaluated free of charge.

8. Acceptable Use

The following are prohibited and may lead to suspension or termination of the account:

  • Systematic copying or scraping of Platform data, bulk export and sharing with third parties, or resale,
  • Account sharing, reverse engineering, attempts to bypass security measures, automated high-volume requests that harm the service,
  • Using the Platform for any unlawful purpose.

9. Intellectual Property

All rights in the Platform's software, design, brand, databases and content belong to Riddle. Membership grants the Member only a non-exclusive, non-transferable right to use the service for the Member's own business.

10. Limitation of Liability

  • The service is provided "as is"; uninterrupted or error-free operation is not guaranteed. Planned maintenance and third-party outages may occur.
  • Riddle is not liable for indirect damages such as loss of profit, data or reputation. In any case Riddle's total liability is limited to the subscription fees paid by the Member in the 3 months preceding the event giving rise to the damage.
  • Any measures applied to the Member's bol.com or other platform accounts (account closure, delisting, etc.) are the Member's own responsibility.

11. Personal Data

Detailed information on the processing of personal data is provided in the Privacy & Data Protection Notice, which forms an integral part of this Agreement.

12. Changes to this Agreement

Riddle may update this Agreement. Material changes are announced via the Platform or by e-mail before taking effect; continued use of the service after a change constitutes acceptance of the current text.

13. Termination

The Member may close the account at any time. Riddle may suspend or terminate the membership in case of use contrary to this Agreement; in that case no refund is given for the unused period. Where no unlawful conduct is involved, termination takes effect at the end of the period.

14. Governing Law and Disputes

This Agreement is governed by the laws of Belgium; the courts and enforcement offices of Brussels have jurisdiction. Mandatory consumer-protection rights arising from the law of a consumer Member's place of residence remain unaffected.
